PRIVACY POLICY AND TERMS OF SERVICE

This Privacy Policy and Terms of Service (this “Agreement”) constitutes a legally binding agreement between Turf Logistics (“Turf Logistics,” “Company,” “we,” “us,” or “our”) and any individual or entity (“Customer,” “User,” “you,” or “your”) that accesses or uses the Turf Logistics mobile application, web-based platform, APIs, or related logistics management services (collectively, the “Services”).

By creating an account, executing an order form, clicking to accept this Agreement, downloading the mobile application, or otherwise accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you are entering into this Agreement on behalf of a legal entity, you represent and warrant that you have the authority to bind that entity to this Agreement.

PART I – PRIVACY POLICY

1. Introduction and Scope

Turf Logistics provides enterprise logistics and delivery management software designed for commercial use. In connection with providing the Services, we collect and process certain personal information. This Privacy Policy describes how we collect, use, disclose, transfer, and retain personal information globally, including in the United States, Canada, Australia, the European Economic Area, and the United Kingdom.

For purposes of applicable data protection laws, Turf Logistics acts as a data controller with respect to account registration, billing, marketing, and administrative data. With respect to operational data uploaded or processed by our business customers in connection with delivery and logistics operations, Turf Logistics acts as a data processor on behalf of the applicable customer.

2. Information We Collect

We collect personal information that you provide directly to us, information generated through your use of the Services, and information collected automatically through your device.

When you register for an account or use the Services, we collect identifying information such as your name, business name, email address, telephone number, business address, and account credentials. If you subscribe to paid Services, we collect billing information and payment details necessary to process transactions. Payment information may be processed by third-party payment providers in accordance with their own privacy policies.

Because the Services are designed to facilitate logistics management, we process operational data generated in the course of delivery activities. This may include delivery addresses, job-site information, time stamps, route data, electronic signatures, uploaded photographs, internal notes, and related documentation necessary to verify performance of services. This data is processed solely for the purpose of providing and improving the Services.

The mobile application collects precise geolocation data when enabled by your device settings. Geolocation data may be collected while the application is actively in use and, if background permissions are granted, while the application runs in the background during operational sessions. Location data may include GPS coordinates, route history, and time-stamped position data. This information is used to facilitate route optimization, verify delivery completion, provide operational transparency, prevent fraud, and enhance service efficiency. Disabling location permissions may limit essential features of the Services.

We automatically collect certain technical and device information, including IP address, device identifiers, operating system information, application version, access timestamps, session duration, crash logs, and diagnostic information. This information is necessary to maintain system security, ensure platform stability, detect unauthorized access, and improve performance.

We also use analytics and marketing tools that collect aggregated usage data to help us understand how users interact with the Services and to improve marketing effectiveness. Turf Logistics does not sell personal information for monetary compensation.

We do not knowingly collect biometric identifiers such as facial recognition data or voiceprints. The Services are not intended for use by children under thirteen (13) years of age, and we do not knowingly collect personal information from children.

3. How We Use Personal Information

We use personal information to provide, maintain, and improve the Services; to create and manage user accounts; to process subscription payments; to provide customer support; to communicate regarding service updates; to ensure platform security; to prevent fraud; to comply with legal obligations; and to enforce this Agreement.

For users in jurisdictions governed by the General Data Protection Regulation or similar laws, we process personal data based on contractual necessity, legitimate business interests, compliance with legal obligations, and consent where required.

4. Disclosure of Information

We may share personal information with third-party service providers that perform services on our behalf, including cloud hosting providers, payment processors, analytics providers, customer communication services, and professional advisors. These service providers are contractually obligated to safeguard personal information and process it only in accordance with our instructions.

We may disclose personal information if required to comply with applicable law, court order, subpoena, or legal process, or if we believe such disclosure is necessary to protect our rights, the safety of our users, or the integrity of the Services.

In the event of a merger, acquisition, reorganization, or sale of assets, personal information may be transferred as part of that transaction, subject to applicable confidentiality protections.

5. International Data Transfers

Because Turf Logistics operates globally, personal information may be transferred to and processed in the United States or other jurisdictions. Where required by law, we implement appropriate safeguards, including contractual protections designed to ensure that personal data remains protected in accordance with applicable regulations.

6. Data Retention

We retain personal information for the duration of the customer relationship and for up to twelve (12) months following account deletion unless a longer retention period is required by law or reasonably necessary for legitimate business purposes, including dispute resolution, enforcement of agreements, or regulatory compliance. After expiration of the retention period, personal information is securely deleted or anonymized.

7. Data Subject Rights

Depending on your jurisdiction, you may have the right to request access to personal information, request correction or deletion, restrict or object to processing, request portability, or opt out of certain data sharing practices. California residents may request information regarding personal information collected and may opt out of “sharing” as defined under applicable law. Requests may be submitted to support@turflogistics.com. We may require identity verification before fulfilling such requests.

8. Security

We implement commercially reasonable administrative, technical, and organizational safeguards designed to protect personal information from unauthorized access, disclosure, alteration, or destruction. These safeguards include encryption in transit, access controls, role-based permissions, system monitoring, and incident response procedures. However, no system is entirely immune from security risks, and we cannot guarantee absolute security.

9. Changes to This Privacy Policy

We may update this Privacy Policy periodically. Continued use of the Services following any update constitutes acceptance of the revised policy.

PART II – TERMS OF SERVICE

1. Subscription and Access Rights

Subject to compliance with this Agreement and payment of applicable fees, Turf Logistics grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for lawful business purposes. No ownership rights are transferred to you.

Subscriptions automatically renew for successive terms equal to the initial subscription term unless canceled prior to renewal. By subscribing, you authorize Turf Logistics to charge your designated payment method on a recurring basis. All fees are non-refundable except as required by applicable law.

2. Acceptable Use

You agree not to misuse the Services or attempt to gain unauthorized access to any system or network. You may not reverse engineer, decompile, disassemble, copy, sublicense, distribute, or otherwise exploit the Services except as expressly permitted. You may not use the Services to violate applicable laws, infringe third-party rights, transmit malicious code, or interfere with platform integrity.

3. Intellectual Property

All right, title, and interest in and to the Services, including all software, documentation, trademarks, trade secrets, and proprietary technology, are and shall remain the exclusive property of Turf Logistics and its licensors.

4. User Content

You retain ownership of content uploaded to the Services. You grant Turf Logistics a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display such content solely for purposes of providing and improving the Services. You represent and warrant that you have all necessary rights to upload such content.

5. Termination

Turf Logistics may suspend or terminate your access to the Services for material breach, non-payment, unlawful conduct, or security risk. Upon termination, all licenses granted under this Agreement immediately cease.

6. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, TURF LOGISTICS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TURF LOGISTICS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO TURF LOGISTICS DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to indemnify and hold harmless Turf Logistics from any claims, damages, liabilities, and expenses arising out of your use of the Services, your violation of this Agreement, or your infringement of third-party rights.

9. Governing Law and Arbitration

This Agreement shall be governed by the laws of the State of South Carolina, without regard to conflict-of-law principles. Any dispute arising under this Agreement shall be resolved by binding arbitration conducted in South Carolina. You waive the right to a jury trial and the right to participate in any class action.

10. Force Majeure

Turf Logistics shall not be liable for failure or delay caused by events beyond its reasonable control, including acts of God, government actions, cyberattacks, natural disasters, or telecommunications disruptions.

11. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements relating to the Services.
